2. Scope of Application

These Terms and Conditions ("T&C") apply to all sales of physical lockers, electronic storage systems, and related accessories concluded by MF COMPANY with both consumers (B2C) and professional buyers (B2B) through the mflocks.com website or in physical stores.

By purchasing a product, the customer acknowledges that they have read, understood and fully accepted these Terms and Conditions without reservation.

3. Product Characteristics and Availability

MF COMPANY provides detailed product descriptions, including dimensions, technical specifications, configurations and compatibility features. Customers are encouraged to review the product information carefully before placing an order.

Product offers remain valid while they are displayed on the website and are subject to availability. If a product becomes unavailable after an order has been placed, MF COMPANY will notify the customer promptly and offer either an appropriate alternative product or a refund, as applicable.

4. Pricing and Payment

All prices displayed for B2C purchases are indicated in Euros (€) and include applicable French taxes (TTC). Delivery costs, where applicable, are calculated and clearly displayed before the customer confirms the order.

Payment may be made securely by credit card, bank transfer or other authorized payment gateways. Invoices are issued in Euros.

For professional B2B buyers, late payment will automatically result in a penalty equal to the European Central Bank refinancing rate plus 10 percentage points, together with a fixed €40 indemnity for recovery costs, in accordance with applicable French law.

5. Delivery and Transfer of Risk

Products are delivered to the address provided by the customer during the ordering process. Estimated delivery times are communicated before checkout and may vary depending on product availability, order volume, customization and delivery requirements.

If MF COMPANY fails to deliver a consumer order within 30 days, unless otherwise agreed, the consumer may exercise the cancellation rights provided by applicable French law.

For consumer purchases, the risk of loss or damage transfers to the buyer only when the goods are physically received by the buyer or a third party designated by the buyer.

For B2B purchases, unless otherwise agreed in writing, risk transfers upon dispatch from the warehouse under Ex-Works or an equivalent agreed delivery arrangement.

6. Right of Withdrawal — Consumers Only

In accordance with Article L.221-18 of the French Consumer Code, consumer buyers generally have a period of 14 calendar days from receipt of their goods to exercise their right of withdrawal without providing a reason.

To exercise this right, the consumer must notify MF COMPANY by means of a clear written declaration or a standardized withdrawal form, which may be requested from MF COMPANY.

The consumer is responsible for the direct cost of returning the goods. Products must be returned in their original condition, subject to the rights and obligations provided by applicable law.

Customized, personalized or made-to-order lockers are excluded from the statutory right of withdrawal where permitted by applicable law.

Where a valid withdrawal applies, MF COMPANY will reimburse the amounts paid, including standard outbound delivery costs where required by law, within the applicable statutory period, subject to the return of the goods and the conditions provided by French law.

7. Legal Warranties

MF COMPANY remains liable for the legal warranties applicable under French law.

Legal Warranty of Conformity (B2C): In accordance with Articles L.217-3 et seq. of the French Consumer Code, consumers benefit from a legal warranty of conformity for defects existing at the time of delivery, subject to the conditions and remedies provided by law. The statutory warranty period is generally two years from delivery.

Warranty Against Hidden Defects: Under Article 1641 of the French Civil Code, buyers may invoke the warranty against hidden defects where a defect renders the product unfit for its intended use or substantially reduces its intended use. The applicable legal time limits and remedies are those established by French law.

8. Liability and Force Majeure

MF COMPANY shall not be held liable for failure or delay in performing its contractual obligations where such failure results from an unforeseeable and unavoidable event beyond its reasonable control, including cases of force majeure such as natural disasters, strikes, severe supply chain disruptions or other events recognized as force majeure under applicable law.

For B2B transactions, and to the extent permitted by applicable law, MF COMPANY's liability is limited to the purchase price of the affected product, except where mandatory legal provisions provide otherwise.

9. Personal Data and GDPR

Personal data collected during an order or quote request may be used for order processing, invoicing, delivery, customer support and other purposes necessary for the performance of the contractual relationship.

In accordance with the EU General Data Protection Regulation (GDPR), customers have rights concerning their personal data, including the rights to access, rectify, delete and, where applicable, port their data.

Requests relating to personal data may be submitted using the contact details provided in Section 1.
